1. Acceptance of Terms
By accessing or using the Voji platform ("the Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to all of these Terms, you may not access or use the Service. These Terms apply to all visitors, users, and others who access or use the Service.
If you are using the Service on behalf of an organisation, you represent and warrant that you have the authority to bind that organisation to these Terms.
2. Description of Service
Voji provides a cloud-based platform that enables businesses to communicate with their customers via the WhatsApp Business API. Our platform offers messaging, automation, campaign management, analytics, and related features as described on our website.
We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time with reasonable notice, except in cases of emergency or legal requirement.
3. Account Registration and Responsibilities
To use the Service, you must register for an account and provide accurate, current, and complete information. You are responsible for:
- Maintaining the confidentiality of your account credentials
- All activities that occur under your account
- Notifying us immediately of any unauthorised use of your account
- Ensuring that your use of the Service complies with all applicable laws and regulations
You must be at least 18 years of age to use the Service.
4. Acceptable Use
You agree not to use the Service for any unlawful purpose or in violation of these Terms. Prohibited activities include, but are not limited to:
- Sending spam, unsolicited messages, or messages without proper consent
- Using the Service for any fraudulent or deceptive purpose
- Distributing malware, viruses, or other harmful code
- Violating the WhatsApp Business API Terms of Service or WhatsApp's policies
- Engaging in any activity that could harm, disable, or impair the Service
- Attempting to gain unauthorised access to any part of the Service or its systems
5. WhatsApp Business API Compliance
As a user of Voji, you must comply with all applicable WhatsApp Business API policies, including:
- Obtaining proper opt-in consent from your customers before sending messages
- Honouring opt-out and block requests promptly
- Using approved message templates for outbound communications
- Maintaining accurate business information in your WhatsApp Business Profile
Violation of WhatsApp's policies may result in suspension or termination of your access to the Service. Voji is not liable for any actions taken by Meta/WhatsApp against your account.
6. Fees and Payments
Certain features of the Service may require payment of fees. All fees are as listed on our pricing page and are non-refundable except as expressly stated in these Terms.
We reserve the right to change our fees with 30 days' notice. Continued use of the Service after the fee change constitutes acceptance of the new fees.
Payment terms:
- Fees are billed in advance on a monthly or annual basis as selected
- All payments are due at the start of each billing period
- Late payments may result in suspension of access to the Service
- All fees are exclusive of applicable taxes, which you are responsible for paying
7. Intellectual Property
The Service, including its software, design, text, graphics, logos, and underlying technology, is owned by Voji and protected by intellectual property laws. You may not copy, modify, distribute, sell, or create derivative works of any part of the Service without our prior written consent.
We grant you a limited, non-exclusive, non-transferable licence to use the Service during the term of your subscription for your internal business purposes.
8. Your Content and Data
You retain all rights to the content, messages, and data you submit to the Service ("Your Content"). By submitting Your Content, you grant Voji a worldwide, royalty-free licence to host, store, process, and transmit Your Content solely to provide the Service to you.
You represent and warrant that:
- You own or have the necessary rights to Your Content
- Your Content does not violate the rights of any third party
- You have obtained all necessary consents from your customers for processing their data
We will not access, use, or share Your Content except as necessary to provide the Service or as required by law.
9. Data Security and Privacy
We implement industry-standard security measures to protect your data. Our data handling practices are described in our Privacy Policy, which is incorporated into these Terms by reference.
You are responsible for configuring the Service appropriately and for maintaining the security of your account credentials.
10. Service Level and Support
We strive to maintain high availability of the Service but do not guarantee uninterrupted access. The Service may be temporarily unavailable for maintenance, upgrades, or due to factors beyond our control.
Support is provided in accordance with your subscription plan. Enterprise plans include priority support with defined response times.
11. Limitation of Liability
To the maximum extent permitted by law, Voji and its officers, employees, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities, arising out of or in connection with the use or inability to use the Service.
Our total liability for any claim arising from these Terms or the Service shall not exceed the total amount paid by you in the twelve (12) months preceding the claim.
12. Disclaimer of Warranties
The Service is provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to merchantability, fitness for a particular purpose, or non-infringement.
We do not warrant that the Service will meet your specific requirements, be uninterrupted, timely, secure, or error-free.
13. Indemnification
You agree to indemnify, defend, and hold harmless Voji and its affiliates, officers, and employees from any claims, damages, liabilities, and expenses arising out of your use of the Service, violation of these Terms, or violation of any rights of a third party.
14. Termination
We may terminate or suspend your account and access to the Service at any time, with or without cause, with or without notice. Grounds for termination include, but are not limited to:
- Violation of these Terms or WhatsApp's policies
- Fraudulent or illegal activity
- Non-payment of fees
- Request by you to close your account
Upon termination, your right to use the Service ceases immediately. We will delete your data within 90 days of termination unless retention is required by law.
15. Changes to Terms
We reserve the right to update or modify these Terms at any time. Changes will be effective upon posting to this page. We will notify you of material changes via email or platform notification. Your continued use of the Service after changes constitutes acceptance of the revised Terms.
16. Governing Law
These Terms shall be governed by and construed in accordance with the laws of India. Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the courts in Mumbai, India.
17. Entire Agreement
These Terms, together with the Privacy Policy and any other agreements explicitly incorporated, constitute the entire agreement between you and Voji regarding the Service and supersede all prior agreements and understandings.
